I would feel better about SAN if I saw a few Directors buying shares in their own company. What is to stop an outsider offering fifty cents to all shareholders? SAN had just better declare a dividend this March!

Directors are not always cash flush, allowing them to buy whenever they like, they also might already be too heavily invested. There are lots of reasons a director might not get into more shares at an attractive price, I have noticed directors trading often gives the incorrect signal, because we simply dont know why the director is buying or selling, even if you ask him.
